These Terms and Conditions (“Terms”) govern the cooperation framework within the B2B program operated by FARE spol. s r.o., registered at Masarykova 254, 763 26 Luhačovice, Czech Republic, Company ID: 46343784, VAT ID: CZ46343784 (hereinafter referred to as “FARE”), and define the rights and obligations between FARE and its business partners (hereinafter referred to as “B2B Partner”).
Only business entities (legal or natural persons) with a valid business registration number are eligible to become B2B Partners.
By registering for the B2B program, the B2B Partner confirms agreement with these Terms.
FARE reserves the right to refuse registration or terminate cooperation with any B2B Partner at any time, without stating a reason or in the event of a breach of these Terms or applicable laws.
Registration and Cooperation
To register, the B2B Partner must fill out the registration form correctly and agree to these Terms. Registration becomes valid upon approval by FARE.
The B2B Partner is required to meet a minimum annual purchase volume of EUR 1,200 excluding VAT. If the B2B Partner fails to meet this requirement within a calendar year, FARE reserves the right to terminate the cooperation or adjust the cooperation terms accordingly.
The B2B Partner agrees to comply with the visual and commercial brand values of FARE and undertakes to follow all wholesale terms and conditions as outlined in this document.
Benefits of Cooperation
An approved B2B Partner receives login credentials to access the B2B portal, which contains current wholesale prices and inventory availability.
B2B Partners may use the pre-order system, typically twice a year (Spring/Summer and Autumn/Winter seasons). Notification of pre-order availability is provided through the B2B profile, via email, or SMS.
The B2B Partner can view order history and inventory status after logging into the portal.
FARE provides free access to promotional materials and advertising assets within the B2B section. These materials must be used solely to promote FARE products and in accordance with FARE’s brand guidelines. All copyright and usage rights belong to FARE.
Year-Round Stock Orders
After logging into the B2B portal, the B2B Partner may purchase products available in FARE’s year-round wholesale stock. All listed items are available for immediate order and are dispatched in line with applicable payment and shipping terms.
Products not listed in the B2B portal are currently unavailable for wholesale orders and cannot be reserved.
Note that the B2B assortment differs from the range offered on the consumer e-shop and follows different commercial rules.
If a product is available on the consumer e-shop, the B2B Partner may contact customer support to inquire about its potential availability in the wholesale portal.
Pre-Orders
FARE allows B2B Partners to secure seasonal stock in advance. Pre-orders are usually opened twice a year, approximately six months before the relevant season starts.
Pre-orders include new collections and selected recurring models in full size ranges. Once opened, pre-order functionality becomes available in the B2B portal, and partners are notified via email or SMS.
B2B Partners may place one or more pre-orders and indicate a preferred delivery window. By submitting a pre-order, the B2B Partner commits to accepting and paying for the goods.
FARE reserves the right to deliver all or part of a pre-order earlier than the indicated delivery window, depending on production and logistics capacity. In such cases, the due date of the invoice will be aligned with the original requested dispatch date.
If a pre-ordered model does not reach the minimum production quantity, FARE reserves the right to exclude it from production. The B2B Partner will be informed accordingly and offered the option to adjust the order by replacing or removing the affected items.
Payment and Delivery Terms
All orders from international B2B Partners are processed only after full prepayment. Once the order is confirmed, an invoice is issued including the total value of goods and the applicable shipping cost. The order is dispatched only after payment is received.
Shipping costs are calculated individually for each order based on actual weight, volume and destination. Free shipping thresholds do not apply. The final shipping fee is communicated once the order is closed, and included in the invoice for prepayment.
In case of repeated non-payment or failure to complete confirmed orders, FARE reserves the right to suspend or terminate the cooperation.
Claims and Complaints
We offer our international B2B Partners two options for complaint handling, selectable at the time of registration or via your B2B account settings. This choice can be changed later upon written request.
Option 1: Self-managed complaints with a 2% discount
By default, this option is activated. The B2B Partner agrees to manage all customer complaints independently and does not return any claimed goods to FARE. As compensation, the partner receives an additional 2% discount on every invoice.
This model reflects our long-term quality standard, with an average complaint rate of only 0.6% from an annual production of approximately 100,000 pairs.
Option 2: Standard complaint procedure via FARE
FARE provides its B2B Partners with an extended warranty period of 36 months, calculated from the date the goods are received by the B2B Partner. Thanks to this extended warranty, the B2B Partner bears no risk when reselling the goods to end customers at a later date. This benefit is made possible by the high quality of our products and a consistently low rate of claims. When submitting a claim, it is necessary to distinguish between a product defect and normal wear and tear resulting from standard use. Claims cannot be accepted in cases where the deterioration of the footwear results from improper or non-standard use, incorrect handling, insufficient maintenance, or mechanical damage.- Claimed goods must be sent to FARE's complaint department in the Czech Republic.
When submitting a claim, it is necessary to distinguish between a product defect and normal wear and tear resulting from standard use. Claims cannot be accepted in cases where the deterioration of the footwear results from improper or non-standard use, incorrect handling, insufficient maintenance, or mechanical damage.- Claimed goods must be sent to FARE's complaint department in the Czech Republic.
- Each complaint must be accompanied by a completed complaint form including:
- Invoice number
- Purchase date (ideally with a copy of the invoice)
- Date when the end customer submitted the complaint to the B2B Partner
- Return address
- Contact information for resolution delivery (email, SMS, etc.)

Complaints will be processed within 15 business days from receipt.
Activating this option voids the right to the 2% discount.
Data Protection
The personal data of B2B Partners is processed in accordance with the EU GDPR Regulation and applicable national data protection laws. Detailed information is provided in the document “Privacy Policy”.
Product Safety Regulation (GPSR)
The B2B Partner agrees to use and share promotional materials provided by FARE solely for the promotion of FARE-branded products, in accordance with FARE’s brand guidelines and the General Product Safety Regulation (GPSR).
The B2B Partner further confirms that such materials will not be modified without prior written approval from FARE. FARE reserves the right to monitor how its promotional content is used and request its modification or removal if necessary.
Final Provisions
FARE reserves the right to amend these Terms at any time. The B2B Partner will be informed of any changes via email or notifications in the B2B portal. In the event of disagreement, the B2B Partner has the right to terminate cooperation via written notice.
The parties agree to exclude the application of the United Nations Convention on Contracts for the International Sale of Goods (CISG).
If any provision of these Terms becomes invalid or unenforceable, the remaining provisions shall remain unaffected.
These Terms are effective from January 2, 2026. By continuing cooperation after this date, the B2B Partner agrees to the current version of the Terms.
All disputes arising in connection with these Terms shall be governed by the laws of the Czech Republic.
